The bolts that hold the skid plate on are called "nutserts". If they just spin instead of coming out then you will have to cut them off and replace them. Getting them back in is easy if you can get them off! Do a search on nutsert replacement and you should find lots of good info.
As far as the rust it looks like worse than just surface rust but not too bad yet. Take care of it now and you should be good for years.
Mine is worse.. But still no failures. Wire wheel it and roll it with por15 or bedliner.

agree, that is bad but repairable......wire wheel all the exterior rust, if you have a rifle cleaning kit use one of the wire brushes to get inside the frame and loosen up the rust.....then use a flexible tube attached to a shop vac to thoroughly vacuum out the inside of the frame. hit the inside with Eastwoods Internal Frame Coating and POR-15 the outside.
one more thing: drill a few holes on the underside of the frame to allow water to drain out and to allow additional places you can vacuum out the interior of the frame.

You should pay close attention to the bolts holding your skidplate on. A couple of weeks ago, the right side broke loose on the trail. The center and rear bolts were gone, and the front pulled through the frame with the nutsert.
My frame looked better than yours from the outside, but in reality had similar rot in the same spots. You may find that when you get the skidplate down, that new nutserts will be out of the question due to rot.
If that's the case, check out replacement frame caps from Autorust. I just installed the center skidplate sections on my 98. It was a big job, but it isn't rocket science. All you need is average welding skills (or a friend with these skills).
My biggest concern now is the sections on the rear of the frame near the control arm mounts (the front ones).
I POR-15'd the center sections and used Eastwood's Internal Frame Paint on the entire frame. I'm hoping the internal treatment will buy me time on those rear sections.
