Good deal or no?

I'm looking at a 2009 Rubicon Unlimited with 40xxx miles. It has navigation, manual transmission, and 12k of work into it-bumper, winch, springs, lift, 35" tires (which i would get rid of and go smaller), cage, etc. It's being listed for 28k, talked down to 25500 cash.
